END USER LICENSE AGREEMENT (EULA)

Mobile Application "VOSTRO – Life Network"

General Terms and Conditions for Application Usage

Version: 1.3.0 Last Modified: 10/16/2026 Effective From: 10/16/2026

IMPORTANT – READ CAREFULLY

This End User License Agreement (hereinafter, "EULA" or "Agreement") constitutes a legally binding contract between You (hereinafter, the "User") and VOSTRO Life Network, located at Frazione Primaz 4, 11020, Brissogne (AO), Italy (hereinafter, the "Data Controller" or "VOSTRO") regarding the usage of the mobile application VOSTRO – Life Network (package identifier com.vostro.lifenetwork), its corresponding online services, connected web domains (including, but not limited to, go.vostrolifenetwork.com), backend infrastructures, APIs, and content (collectively, the "App" or "Service").

By installing, downloading, accessing, or otherwise using the App, the User represents that they have read, understood, and fully accepted this EULA along with our standalone Privacy Policy. If you do not agree to these terms, you must immediately uninstall the App and cease all usage of the Service.

1. Definitions

For the purposes of this EULA, the following definitions apply:

  1. "App" / "Service": The VOSTRO Life Network mobile application and all supporting ancillary services (Cloud Functions backend, Firebase, Firestore, IntelliVOS, deep links, invitation token systems, server-assisted encrypted chats, maps, etc.).
  2. "User": Any natural person who registers an account and utilizes the App.
  3. "Account": The User's personal profile, created via the secure authentication mechanisms provided within the App.
  4. "User Content": Any content uploaded, published, shared, or transmitted by the User via the App, including but not limited to: names, profile photos, bios, chat messages, Room descriptions, metadata, locations, and comments.
  5. "Room": A localized group activity or event created by a User, defined by an activity, location, scheduled time, duration, and maximum capacity, with configurable visibility tiers (public, private, shadowed).
  6. "Director": A specific User profile tier entitled to create and manage Rooms under custom parameter allocations (holding director rights); Directors may be granted an initial 72-hour exploratory period.
  7. "IntelliVOS": The proprietary Artificial Intelligence engine integrated within the App (powered by Google Gemini models utilized pro tempore) that serves as an adaptive real-life assistant, assisting in activity searching, automated Room setup drafting, preference analysis, and behavioral profile synthesis.
  8. "Profiling": Any automated processing of personal data to evaluate specific human aspects of a User (preferences, habits, psychological tendencies, community affinity, reliability indices), as thoroughly structured inside the Privacy Policy.
  9. "Token-Based Invitation System": A core function enabling secure activity coordination through time-limited, expiring, and volatile invite tokens.
  10. "Data Controller": The entity established in the preamble, legally responsible for providing the App and processing personal data under applicable frameworks.

2. Scope of Agreement and Nature of Service

2.1 The App operates as an activity-centric and location-aware social utility platform that permits Users to:

  • Create, discover, track, and join geolocated Rooms (group activities);
  • Communicate with other verified attendees via server-assisted encrypted chats, and share photos, videos, and voice messages in chat;
  • Leverage personalized real-life organization recommendations generated by IntelliVOS (AI);
  • Generate and parse programmatic contextual invitations via secure deep links, QR codes, and token strings;
  • Build a personal circle of real-life friend connections.

2.2 The App IS NOT:

  • A medical, psychological, therapeutic, or professional counseling service;
  • A dating agency or romantic matchmaking platform;
  • A financial, corporate transaction, or investment-brokering instrument;
  • An emergency response platform. In the event of an emergency, the User must contact local public emergency networks immediately (such as 112 or 911).

2.3 The Data Controller operates strictly as an information society service supplier and acts as a hosting provider concerning User Content under applicable transnational laws (including EU Regulation 2022/2065 – Digital Services Act, where applicable).

3. Eligibility and Requirements

3.1 Minimum Age Requirement. Access to and usage of the App is strictly reserved for natural persons who are 16 years of age or older. This registration constraint is explicitly aligned with the default baseline established by Article 8(1) of the GDPR regarding information society services targeted toward minors. While individual EU member states may lower this standard through national provisions (such as Italy setting it at 14 years via Legislative Decree 196/2003, Article 2-quinquies), the Data Controller has deliberately elected to maintain the highest protective baseline set by the European Regulation. App usage by individuals below 16 is strictly prohibited. The onboarding system mandates birthdate declarations and programmatically blocks account creation for users below 16. If the Data Controller discovers unauthorized usage by a minor under this age threshold, it will immediately suspend and permanently terminate the account.

3.2 Legal Capacity. The User warrants that they possess full legal capacity to enter into binding contracts under applicable jurisdiction and are not subject to any legal incapacitation restricting this Agreement.

3.3 Devices and Connectivity. The Service requires a compatible smartphone (supported baselines of iOS or Android), active network connectivity, and appropriate device permission grants (GPS location tracking, camera access, background push tokens). The Data Controller gives no warranty for universal hardware compatibility or carrier costs.

3.4 Authenticity. Users agree to supply accurate, non-fraudulent, and updated registration metrics, promising never to impersonate another natural or legal person. Account setups are strictly personal and non-transferable.

4. Grant of License and Usage Restrictions

4.1 The Data Controller grants the User a personal, non-exclusive, non-transferable, non-sublicensable, revocable, and free-of-charge license (subject to future premium modules) to install and use a copy of the App on personal devices for non-commercial social utility usage as governed by this EULA.

4.2 This license does not transfer any intellectual property ownership. All rights, titles, and proprietary interests not explicitly stated are reserved solely by VOSTRO.

4.3 The User is strictly prohibited from executing the following actions: (a) Decompiling, reverse engineering, disassembling, or translating the application package code, except to the extent mandatory by unalterable applicable law; (b) Removing, altering, or obscuring copyright watermarks, legal designations, or trademarks; (c) Modifying, adapting, or creating derivative works of the App; (d) Selling, renting, sublicensing, or distributing App binaries or access tokens; (e) Using the software to engineer competing real-life AI coordination tools; (f) Circumventing security load balancers, cryptographic barriers, or rate-limiting firewalls; (g) Deploying automated index scrapers, bots, or crawlers to mine platform databases; (h) Exercising server stress loads that threaten infrastructure uptime stability.

5. Account Creation and Identity Verification Tiers

5.1 Utilizing the App requires provisioning an Account via supported identity federations (e.g., email-password auth, secure SSO integrations). The User remains solely liable for guarding access tokens and login secrets.

5.2 The User is fully accountable for all digital operations executed under their credential profile. In case of suspected account hijacking, immediately alert our support center at privacy@vostrolifenetwork.com.

5.3 VOSTRO reserves the right to suspend any credential string or trigger identity verification loops if anomalous behavior or policy breaches are detected.

5.4 Optional Verification Flag ("Verified User"). To bolster trust, the App features a voluntary safety tier enabling Users to unlock a "Verified User" trust badge. To obtain it, users may upload clear images of their government-issued identification document. This system acts to minimize bot spoofing, mitigate catfish operations, and significantly shield minors interacting with adults on the platform.

5.5 Uploaded identification files are held under a rigid and highly restricted offline data isolation framework, detailed under Section 11.1 of the Privacy Policy. To summarize: immediately after manual verification checks settle, the live online document assets are permanently purged from all network-accessible cloud systems. If the check passes, an offline encrypted hash/record is archived solely for safety audit records; if it fails, it is destroyed immediately. This onboarding step is entirely voluntary, and standard App functionality remains unlocked regardless. No biometric facial map profiling occurs unless explicitly consented to under future native KYC upgrades.

6. Acceptable Use and Community Standards

6.1 The User promises to behave lawfully and respectfully. In using the platform, the User SHALL NOT create, distribute, or coordinate content that:

(a) Is illegal, defamatory, obscene, pornographic (including an absolute zero-tolerance policy against CSAM or any minor exploitation indicators), violent, discriminatory, or incites real-world harm or hate speech; (b) Infringes upon third-party copyrights, trademark files, design patents, or publicity rights; (c) Dovetails as doxxing or non-consensual disclosure of third-party personal details; (d) Coordinates phishing, malicious fraud, financial scams, or malware propagation; (e) Intends to arrange unauthorized rendezvous with minors, or fosters grooming or exploitative patterns; (f) Promotes human trafficking, illegal sex work, or criminal racketeering; (g) Implements Rooms encouraging self-harm, unsafe localized challenges, or dangerous behaviors; (h) Synthesizes duplicate ghost accounts to bypass safety blocks or platform bans; (i) Misuses the Room promotion label (Section 10.5) in a deceptive manner.

6.2 The User assumes exclusive legal liability for all User Content they project into the network and the subsequent real-world outcomes of those inputs.

6.3 While VOSTRO has no proactive pre-screening mandate under Article 8 of Legislative Decree 70/2003 and the EU Digital Services Act, it retains full technical rights to wipe violating data slots, drop account permissions, and share data vectors with law enforcement organs upon receiving verified abuse notices.

7. User Content and License Grants

7.1 Ownership. Users retain all intellectual property rights and copyrights over the raw assets and text prompts they generate inside the Service.

7.2 License Grant to VOSTRO. By distributing User Content through the App, the User grants the Data Controller a non-exclusive, royalty-free, worldwide, transferable, and sublicensable license (strictly to downstream core technical vendors like cloud infrastructure hosts and CDNs, solely to execute the Service) to index, cache, parse, transcode, mirror, and render the assets. This license automatically expires when the account is wiped, subject to standard system backup overwrite windows. This grant allows us to:

  • Render and map your Room parameters to authorized friends;
  • Transmit your encrypted text packets securely;
  • Adapt technical display fields (image compression, local time conversions).

7.3 No Commercial Utilization without Consent. VOSTRO will never utilize your private text coordinates or profile media files for off-platform marketing collateral without your explicit written opt-in.

7.4 Notice and Action Protocols. If any party believes that platform assets infringe upon their legal copyrights, they can submit an abuse ticket to privacy@vostrolifenetwork.com, detailing the exact asset URI and legal proof of ownership. VOSTRO will review and enforce necessary takedowns without undue delay.

7.5 VOSTRO Proprietary Rights. The "VOSTRO Life Network" app, the "IntelliVOS" brand framework, original vector graphics, codebase segments, and UI styles remain the exclusive property of the Data Controller, guarded under global copyright laws.

8. Location-Aware Architecture and Geolocational Services

8.1 The platform relies on core device location APIs (GPS, Wi-Fi tri-angulation, IP parsing) to compute proximity ranges for nearby Rooms and calculate logistical route variables.

8.2 To protect personal privacy, geolocational pins mapped to other users may be programmatically generalized using "fuzzy spatial coordinates". Nonetheless, the User acknowledges that mapping proximity metrics involves inherent real-world safety risks (such as tailing or deduction). The activation and management of device location coordinates remain under the User's sole discretion and liability.

8.3 Users can disable device-level location tracking permissions at any time, though this will significantly limit or disable the platform's core coordination features.

9. IntelliVOS AI Engine Disclaimer

9.1 Operational Nature. IntelliVOS functions as an automated real-life administrative agent, leveraging trusted generative models (currently Google Gemini instances deployed across the europe-west1 region) under custom logic scripts to suggest venues, structure invitations, and analyze group coordination intent.

9.2 As-Is Provision and Technical Disclaimers. All algorithmic outputs, scheduling assumptions, and venue metrics are delivered "as is". IntelliVOS: (a) DOES NOT constitute medical, mental health, legal, fiscal, or relationship professional counseling; (b) Can generate hallucinations, obsolete business metrics, or miscalculated venue bookings; (c) Can reflect algorithmic biases native to foundational LLM models; (d) Never replaces the necessary critical evaluation and real-world confirmation of the User.

9.3 User Discretion. The User must independently verify event planning variables (such as venue hours, reservation terms, and safety) before acting. VOSTRO assumes no liability for real-world logistical missteps or cancellations resulting from AI recommendations.

9.4 Prompt Boundaries. Users agree never to inject third-party PII or highly sensitive private parameters (Article 9 GDPR categories) into the AI assistant fields.

9.5 Automated Profiling. Adaptive contextual assistance requires behavioral profiling, which is managed under strict Article 22 GDPR parameters outlined inside our Privacy Policy. Users retain the explicit right to disable advanced empathetic behavioral profiling loops by turning off the feature via Menu > Account > Privacy Settings.

10. Real-Life Rendezvous and Safety Disclaimer

10.1 Room Access. Visibility and room membership entries are dictated by creators via programmatic toggles (Public, Private, Shadowed), subject to platform security limits.

10.2 Director Operations. Active event coordinators holding Director verification status must adhere to fair usage policies and technical criteria set by the app.

10.3 Physical Encounters — CRITICAL SAFETY DISCLAIMER. The ultimate goal of the App is to streamline real-world coordination, which inevitably leads to face-to-face physical meetings between users. The User explicitly understands and agrees that:

(a) The Data Controller DOES NOT screen the background, criminal database entries, psychological health, or real-life reliability of any User; (b) The decision to meet individuals, travel to suggested coordinates, or join unverified real-world gatherings is made entirely at the User's independent choice and sole personal risk; (c) Users must exercise strict personal safety precautions (meeting in public, brightly lit environments, informing family members of your whereabouts, and keeping sensitive personal data secure); (d) VOSTRO DISCLAIMS ALL LEGAL LIABILITY for any personal injury, financial loss, criminal act, emotional distress, or adverse incident occurring before, during, or after real-world gatherings coordinated via the app, to the maximum extent permitted by applicable law.

10.4 Volatile Invites. Secure token link arrays expire automatically to prevent broad resharing. The User is responsible for safely managing who they share active token parameters with.

10.5 Promoted Rooms. A Director may mark a Room as "promoted" to highlight an event organized by third parties (for example, local food festivals, fairs, or public events), indicating who organizes it and, optionally, a link to the organizer's official channels. By applying this label, the Director declares that they are not the organizer of the event. Promotion is reserved for official Directors recognized by the Data Controller. In any case, the Director remains responsible for:

(a) the accuracy of what they publish, including the promotion label and the stated organizer;
(b) the management of the Room and their relationships with its participants.

The Data Controller does not verify the existence, occurrence, schedule, or organization of promoted events and accepts no liability for them; the organizer and its channels are the authoritative source of official information. A Room that already has registered participants cannot be converted into a promotion. Using the promotion label deceptively is prohibited, for example to present one's own event as a third-party event or to carry out undisclosed advertising. Users can report a misleading promotion through the App's reporting tools; in case of violation, the Data Controller may remove the label or the Room and suspend Director rights pursuant to Section 16.

11. Device-Level Encryption and Packet Security

11.1 Chat text strings transit under symmetric AES block encryption, utilizing multi-tiered ephemeral key rotation schemas distributed via authorized cloud network routes. Downstream Firestore rules prevent direct client database access to global keystores. Photos, videos, and voice messages sent in chat are protected by encryption in transit (TLS) and server-side access rules, and remain on the servers only for the period set out in Section 11 of the Privacy Policy.

11.2 While VOSTRO complies with Article 32 GDPR data isolation standards, the User understands that no transmission over the internet is completely bulletproof. VOSTRO cannot guarantee absolute data security against novel cyber exploits.

11.3 Users must secure their personal smartphones by maintaining updated operating systems and using secure screen locks.

12. Deep Links, Notifications, and System Assets

12.1 The platform issues transactional push indicators and parses deep links or QR structures to smoothly route users to targeted coordination rooms. These can be adjusted anytime within OS notification settings.

12.2 Interacting with deep link strings shared on third-party public platforms occurs entirely at the user's risk. VOSTRO is not liable for phishing vectors engineered by third parties outside our application framework.

13. Service Availability, Uptime, and Maintenance

13.1 The Service is provided on an "as available" basis. VOSTRO gives no guarantee for uninterrupted server uptimes, bug-free rendering, or zero-latency response fields. Systems may experience downtime for scheduled maintenance or critical software security patches.

13.2 Application Modifications. VOSTRO reserves the right to adjust, deprecate, or modify features within the application ecosystem to optimize performance, without liability. Major modifications affecting contract terms will be notified to users with reasonable advance notice.

13.3 Data Loss. Users are encouraged to maintain independent logs of their personal real-life schedules; VOSTRO is not liable for data loss due to unexpected server resets.

14. Premium Modules and Future Commercial Integration

14.1 Any premium tools, premium reservation credits, or commercial subscriptions introduced in the future will be governed by standalone Addenda that users must explicitly review and accept at the time of purchase.

14.2 For relationships involving consumers, mandatory local consumer protection acts (such as the Italian Consumer Code, Legislative Decree 206/2005, where applicable) will apply, safeguarding legal conformity guarantees and withdrawal windows.

14.3 Payment processing will be managed exclusively through official app store payment processing networks (Apple App Store, Google Play Billing) or certified third-party token processors. VOSTRO never logs or stores your credit card details.

15. Sponsorships and Promotional Ads

15.1 We reserve the right to display contextual or localized commercial ads or affiliate reservation links. Any behavioral advertising based on user profiling will strictly require an explicit, granular opt-in choice, which can be toggled off at any time.

16. Account Termination and Suspension Policies

16.1 Voluntary Account Closure. Users can request the immediate and permanent deletion of their account at any time using the in-app deletion button or by emailing privacy@vostrolifenetwork.com. Processing occurs according to the windows defined in our Privacy Policy.

16.2 Involuntary Account Termination. VOSTRO may restrict, lock, or permanently delete an Account without notice if: (a) The User breaches any clause of this EULA; (b) The User coordinates illegal or fraudulent activities or poses safety risks; (c) Valid judicial or police orders compel us to take action; (d) The Account remains entirely inactive for a continuous period of 24 months; (e) The Service is decommissioned in a target market.

16.3 Effects of Dissolution. Account termination completely strips all network privileges. Accrued digital values or premium variables are non-refundable unless otherwise mandated by law. Sections that by their nature survive contract termination shall remain in full force.

17. Indemnification and Limitation of Liability

17.1 To the maximum extent permitted by applicable law, and excluding cases of willful misconduct (dolo) or gross negligence (colpa grave), VOSTRO's total liability for any damages arising out of or related to this Agreement shall be strictly limited to proven, direct, and foreseeable damages. We shall not be liable for any indirect, consequential, or incidental damages, loss of opportunities, reputational harm, data corruption, or lost profits.

17.2 VOSTRO is not liable for: (a) Misconduct, stalking, or unlawful behavior perpetrated by platform users; (b) Content or safety conditions at third-party venues linked or suggested within the App; (c) Infrastructure interruptions caused by force majeure or upstream cloud providers; (d) Damages arising out of usage in breach of this EULA; (e) Any outcome of real-world physical meetings organized through the app (per Art. 10.3).

18. User Indemnity

18.1 The User agrees to indemnify, defend, and hold harmless VOSTRO, its founders, directors, and technical partners from any legal claims, losses, liability settlement costs, or legal fees arising out of the User's breach of this EULA, their uploaded User Content, or their violation of third-party rights.

19. Minor Protection Protocols

19.1 Beyond the minimum age threshold established in Section 3.1, VOSTRO implements multi-layered defensive guardrails to deter registration by underage users, including hard blocking date-of-birth selectors, active user reporting workflows, and our optional identity verification tier (Section 5.4).

19.2 Enhanced Safety for the 16-17 Age Group. For users aged 16 and 17, the system enforces heightened default privacy settings: targeted behavioral advertising is permanently disabled, and advanced empathetic AI profiling features are turned off by default.

19.3 Age Policy Evolution Record. Prior legacy iterations of this EULA (v.1.1.0 and older) set the minimum age entry at 14 years, in alignment with Italian local decree exceptions. Effective with v.1.2.0 (May 20, 2026), VOSTRO proactively increased this safety threshold to 16 years globally to align with the strictest European regulatory trends. This policy shift was enforced during our pre-launch phase when no actual active user base aged 14–15 existed, meaning no retroactive account grandfathering was required.

19.4 If a parent or legal guardian discovers that their minor child has falsified onboarding inputs to bypass our age filters, please contact our support desk at privacy@vostrolifenetwork.com for immediate account closure and data erasure.

19.5 VOSTRO's standards against child sexual abuse and exploitation (CSAE), including reporting and enforcement procedures, are published at https://www.vostrolifenetwork.com/child-safety.

20. Amendments to this EULA

20.1 VOSTRO retains the right to modify these terms to reflect evolving regulatory frameworks, technical updates, or changes in business structure.

20.2 Significant modifications will be communicated to users at least 15 days in advance via in-app alerts, email notifications, or clear announcements on www.vostrolifenetwork.com.

20.3 Continued use of the App after the notice period expires constitutes full acceptance of the updated terms. If you do not agree to the updates, you must delete your account.

21. Communications and Technical Support

21.1 All contract notices or abuse tickets should be directed to the following channels:

  • General Enquiries: privacy@vostrolifenetwork.com
  • Support Center: privacy@vostrolifenetwork.com
  • Abuse Reporting: privacy@vostrolifenetwork.com
  • Postal Coordinates: Frazione Primaz 4, 11020, Brissogne (AO), Italy
  • Certified Italian Electronic Mail (PEC): vostrolifenetwork@pec.it

22. Governing Law and Dispute Resolution

22.1 This Agreement is governed exclusively by the laws of Italy, without regard to conflict of laws principles that would apply the laws of another jurisdiction.

22.2 For any legal actions involving consumers, jurisdiction rests with the court of the consumer's place of residence or domicile, in compliance with mandatory local consumer acts.

22.3 For any non-consumer disputes, exclusive jurisdiction rests with the Court of Aosta, Italy.

22.4 EU consumer users may also access the European Commission's Online Dispute Resolution platform for alternative dispute settlement: https://ec.europa.eu/consumers/odr/.

23. Miscellaneous Provisions

23.1 Entire Agreement. This EULA, along with our Privacy Policy and any premium module addenda, constitutes the entire contract between the parties regarding the use of the App.

23.2 Severability. If any provision of this EULA is held invalid or unenforceable, the remaining clauses shall continue in full force and effect.

23.3 No Waiver. Our failure to enforce any right or clause within this Agreement does not constitute a waiver of that right.

23.4 Assignment. VOSTRO may assign its rights and duties under this contract to third parties in the event of a merger, acquisition, or corporate asset sale, with prior notice to users.

23.5 Explicit Approval of Onerous Clauses (Art. 1341 & 1342 of the Italian Civil Code). Pursuant to Italian civil statutes, the User explicitly represents that they have read, understood, and specifically approved the following sections of this Agreement: Section 3 (Eligibility Tiers), Section 4 (License Constraints and Restrictions), Section 6 (User Content Liability and Account Blocking), Section 7 (License Grants over Content), Section 10.3 (Physical Encounters and Disclaimer of Harm), Section 10.5 (Promoted Rooms), Section 13 (Availability and Deprecation of Features), Section 16 (Involuntary Account Termination), Section 17 (Limitation of Liability), Section 18 (User Indemnity), Section 20 (EULA Amendments), and Section 22 (Governing Law and Court Jurisdiction).

This contract is drafted in compliance with Italian and European statutes in effect as of the date of last modification. The Data Controller recommends that Users periodically check this document for updates.
